Service Agreement Term of Use

Concord Review is owned and operated by PT Concord Consulting Indonesia (“Provider”). Please read these Terms of Use (the “Terms”) carefully before using Concord Review. By accessing or using Concord Review in any way, including without limitation, browsing the website using any information emailed, text-messaged or on the website, and/or subscribing to the online service; you agree to and are bound by the terms, conditions, policies and notices contained in these “Terms.”

1. Disclaimer

  1. Country Information Reporting, Incident Tracking, Analysis, and Data Management. The countries that the Provider reports on are at times dynamic; changes can occur suddenly and dramatically. While every care has been taken in preparing accurate and timely information reporting, incident tracking. Analysis and statistical data; due to the wide-ranging nature of incidents and the high likelihood of under-reporting and misinformation, the information and data displayed, including report content, analysis, charting, and incident tracking is based on available collected and collated reported information and data only.
  2. The Provider accepts no liability for injury, loss or damage arising in respect of any statement contained herein, the Provider takes no responsibility for any discrepancy resulting from unreported information or inaccurate data.
  3. Clients are recommended to use Microsoft Edge for the optimal experience in accessing and viewing Concord Review websites.

2. USE OF CONCORD REVIEW

  1. Ownership. Concord Review is for your use as outlined in these Terms. All Concord Review content is owned by Provider. Concord Review contains copyrighted material, trademarks, service marks, trade dress and other proprietary content, including but not limited to text, photographs, buttons, images, logos, and graphics (the “Content”), and the entire selection, coordination, arrangement and “look and feel” of Concord Review and the Content are copyrighted as a collective work under international and Indonesian copyright laws (collectively, “Intellectual Property Rights”). Neither these Terms nor the use of Concord Review transfers any right, title or interest in Concord Review or the Content to you. Provider retains all of its respective right, title and interest to Concord Review and Content.      
  2. Restrictions. You may not use, modify, republish, frame, print, display, perform, reproduce, license, transfer, sell, assign, post, transmit, distribute, reverse engineer, create derivative works from, or otherwise exploit any Content or information from Concord Review, in whole or in part, without the express permission of Provider. In addition, you agree not to use any data mining, robots, or similar data gathering and extraction methods in connection with Concord Review.              
  3. Site Interruptions; Site Content. Concord Review is available worldwide to anyone with Internet access. However, Concord Review may not be continuously available due to maintenance or repairs or due to computer problems or crashes, disruption in Internet service or other unforeseen circumstances. The Content of Concord Review is intended for use and display only where its use and display are permissible in accordance with applicable laws and regulations.      
  4. Third Party Information. Certain material in Concord Review may be furnished by third parties. Certain product, service, or company designations for companies other than Provider may be mentioned in Concord Review for identification purposes only. A reference to a product or service on Concord Review does not imply that such product or service is or will be available in your location. Third party trademarks, trade names, logos, product or services names contained in Concord Review are the trademarks, registered or unregistered, of their respective owners.
  5. No License. Nothing contained in these Terms shall be construed as conferring any other license or right, express or implied, under any of our Intellectual Property Rights or under any third party’s Intellectual Property Rights. Any rights not expressly granted herein are reserved.
  6. Language Translation. Original information content is English. The accuracy level of translations into other languages is approximately 90% and is achieved by multiple machine translation technology solutions.  Increased translation accuracy is maintained through neural technology systems. Subscribers at times may experience translation system incompatibility for certain elements of the Concord Review.

3. SUBSCRIPTION AGREEMENT

  1. Online Subscription. During the subscription process, you will be given user name(s) and password(s) and provided with various other information. You are responsible for providing accurate registration information and for updating it as required. Provider reserves the right to change or revoke your user name(s) as it deems necessary. You are also responsible for maintaining the confidentiality of your password(s).
  2. Fees and Payments. Subscription fees (including any applicable taxes) will be paid in advance. If the Subscription includes access to portions of Concord Review containing premium content, access to such areas may be subject to additional fees, terms and conditions. All charges will be invoiced in advance. Subscription fees will be billed prior to the beginning of the subscription or any renewal. Subscription will commence upon receipt of payment. All fees and charges are nonrefundable. Provider may change the fees and charges then in effect, or add new fees or charges, by sending a notice to you or your representative.
  3. Restrictions. You agree not to reproduce, re-transmit, distribute, disseminate, sell, publish, broadcast or circulate the information received through Concord Review to anyone, including but not limited to others in the same company or organization as you, without the expressed prior written consent of Concord Review or Provider. You may, on an occasional and irregular basis, include isolated portions of information from Concord Review in official memoranda, unit newsletters, reports, and presentations, but only if such memoranda, reports, and presentations are distributed or otherwise made available in non-electronic form, for a non-commercial purpose to a limited number of individuals. You must include in all such memoranda, reports, and presentations the phrase, “Used with permission of Concord Review (or Provider as applicable). Posting any content from Concord Review to any newsgroup, mail list, electronic bulletin board or other forum without the prior written consent of Provider is strictly prohibited.

4. USER CONDUCT

By using Concord Review, including all Content and services available through it, you agree that you shall not:

  1. Share passwords, forward email content or any information published by Concord Review and provide access to nonsubscribers to include those nonsubscribers in your and/or the subscribing organization;
  2. Provide, sell, license, or lease the content (or provide access to the Content) for any fee or other consideration.
  3. Delete, modify, hack, or attempt to change or alter any of the content on Concord Review.
  4. Use any device, software or routine intended to damage or otherwise interfere with the proper functioning of Concord Review or servers or networks connected to Concord Review or take any other action that interferes with other parties’ use of Concord Review.
  5. Use any Concord Review and Provider names, service marks, or trademarks without our prior written consent, including without limitation as metatags, search engine keywords, or hidden text.
  6. Upload files that contain viruses, Trojan horses, worms, time bombs, cancelbots, corrupted files, or any other similar software or programs that may damage the operation of another’s computer or property of another.
  7. Provide false information on your registration form or in any Subscription, or impersonate someone else; or
  8. Link or hyperlink to Concord Review from any site

5. MODIFICATIONS TO TERMS

Provider may change these Terms at any time by notifying you of the change in writing or electronically. Your continued use of Concord Review following any updates or changes to these Terms constitutes acceptance of such changes.

6. MODIFICATION OF SITE

Provider reserves the right to modify access to Concord Review (or portions of Concord Review) at any time, temporarily or permanently, with or without notice. Provider may also impose limits on certain features and services and restrict access to parts or all of Concord Review without notice or liability. Provider will not be liable to you or any third party in the event that Provider exercises its right to modify access to Concord Review or portions of Concord Review.

7. PRIVACY AND CONFIDENTIALITY

Provider may use any information collected through Concord Review for internal purposes only. Provider may use your information to send correspondence relating to Concord Review products, subscriptions and services or to support continued relationship with Provider. Should you send comments or questions via email to any email address provided on Concord Review, Provider will use the information until Provider has done its very best to provide a complete and satisfactory response and then will discard or, in some cases, archive the information. Provider may disclose personal information (names of individuals and/or organizations) if required to do so by law or Provider, in good faith, believe that such action is necessary to

  1. Comply with the law or with legal process.
  2. Protect and defend Provider rights and property.
  3. Protect against misuse or unauthorized use of Concord Review; or
  4. Protect the personal safety or property of our users or the public. Provider does not sell, rent or otherwise knowingly disclose our mailing lists or other personally identifiable information you may provide without your consent.

Should you use the services of Provider (unrelated to Concord Review), and confidential information is disclosed to Provider for such tasks; Provider will safeguard all such information. As such Provider will not publish, disclose, make references to, insinuate, or speculate on such information on the Concord Review. However, if information is obtained through open-source/public forum or via other public news sources, you acknowledge that Provider reserves the right to publish such information.

8. SUBSCRIPTION CHANGES

Subscribing organizations may change recipient(s) of Concord Review with other recipient(s) within their organization with prior notification without additional charge, penalty or loss of credit of the advance payment. However, if recipient names are not updated promptly by you, no credits or refunds will be given.

  1. Should you require additional recipients to the Concord Review, additional subscribers may be added with applicable additional charges. All additional subscriptions will require advance payment prior to commencement of service.

9. TERMINATION OF THE SERVICE

Concord Review is for you to make informed decisions. You are responsible for transactions made while your account is active using your user name and password. Provider may discontinue or change Concord Review, or its availability to you at any time for breaches outlined in Sections 1, 2, and 3. You may terminate your subscription at any time by contacting Provider. However, no refund or credit will be given for the remaining advance payment of the subscription.

  1. Provider may terminate access/subscription if, in its sole judgment, there is evidence that multiple persons have accessed Concord Review using a single your user name and password. Provider’s determination regarding such evidence shall be final and binding. Provider may also terminate access if, in its reasonable discretion, it believes that you have violated any of the provisions of this subscription agreement, Concord Review’s privacy policy or Terms of Use.
  2. Any breach in user conduct may result in the cancellation of not only your access and subscription but also your entire organization’s access and subscription of the Concord Review. Provider will no longer guarantee your confidentiality and privacy if you breach the Terms. Breaching user conduct jeopardizes you and/or your organization’s reputation, and you and your organization risk being listed on Concord Review’s List of Banned Subscribers online.

10. OTHER SITES, CONTENT, PRODUCTS AND SERVICES

As a convenience to you, Concord Review may provide links to websites and access to content, products and services of third parties, including without limitation, Provider’s strategic partners and other entities with which connection consists of only a hyperlink (“Linked Sites”). You should refer to the separate terms of use, privacy policies, and other rules posted on Linked Sites before using them. Provider does not author, edit or monitor these Linked Sites, and is not responsible or liable for:

  1. The availability of or content provided on such Linked Sites, nor does inclusion of any link imply endorsement of the Linked Sites by Provider, or vice versa.
  2. Third party content accessible through such Linked Sites.
  3. Any loss or damage whatsoever you may incur from dealing with any Linked Site; or
  4. Your dealings with any third parties found on or through Concord Review.

You bear all risk associated with the use of such Linked Sites, third party services, and correspondence or business dealings, other than Provider, found on or through Concord Review.

11. ERRORS

Provider’s goal is to provide complete, accurate, up-to-date information. Unfortunately, it is not possible to ensure that all information is completely free of human or technological errors. Concord Review may contain typographical mistakes, inaccuracies, or omissions, and some information may not be complete or up-to-date. Provider therefore reserves the right to correct any errors, inaccuracies or omissions and to change or update information at any time without prior notice.

12. DISCLAIMER OF WARRANTIES AND LIABILITY

Concord Review includes information that to the best of its knowledge is factual, as well as the views, opinions, and recommendations of individuals and organizations deemed of interest. Provider does not guarantee the accuracy, completeness, or timeliness of any reported fact, or otherwise endorse the views, facts, opinions or recommendations of others.

  1. Moreover, due to the number of sources from which news, information, and interactivity on Concord Review is obtained, and the inherent hazards of electronic distribution; there may be delays, omissions, or inaccuracies in such news and information. Concord Review, Provider and its affiliates, agents, and licensors cannot and do not warrant the accuracy, completeness, current-ness, non-infringement, merchantability, or fitness for a particular purpose of the news and information available through Provider, or Concord Review itself.
  2. Neither Provider nor any of its affiliates, agents, or licensors shall be liable to you or anyone else for any loss or injury (whether or not caused in whole or part by the negligence of Provider, or its affiliates, agents, or licensors or by contingencies beyond their control in procuring, compiling, interpreting, reporting, or delivering Concord Review and any news and information through Concord Review).
  3. In no event will Provider, its affiliates, agents, or licensors be liable to you or anyone else for any decision made or action taken by you in reliance on such news and information. In the event that a court of competent jurisdiction should hold that Provider and its affiliates, agents, or licensors may not disclaim liability for damages caused as a direct result of the actions or negligence of Provider and/or its affiliates, agents or licensors, such entities shall not be liable to you or anyone else for any damages other than direct damages (including, without limitation, consequential, special, incidental, indirect, or similar damages) even if advised of the possibility of such damages. In all events, you agree that the liability of Provider, its affiliates, agents, and licensors, if any, arising out of any kind of legal claim (whether in contract, tort, or otherwise) in any way connected with Provider or the news and information in Concord Review shall not exceed the amount you paid to Concord Review or Provider for the use of Concord Review.

13. LIMITATION OF LIABILITY

In no event shall Provider be liable for any indirect, incidental, special, punitive, increased or consequential damages, loss of profits, revenue, data, goodwill or use, incurred by you or any third party, whether in an action in contract or tort (including negligence and strict liability), arising from your access to or inability to access, or use of, this site or any services provided in connection with this site, even if Concord Review has been advised of the possibility of such damages.

  1. This limitation on liability applies to, but is not limited to, the transmission of any disabling device or viruses which may infect your equipment or system, failure of mechanical or electronic equipment or communication lines, telephone or other interconnect problems, unauthorized access, theft, bodily injury, property damage, operator errors, strikes or other labor problems or any force majeure.
  2. Some jurisdictions do not allow certain limitations or exclusions of liability in some circumstances. Consequently, some of the foregoing limitations may not apply to you.

14. INDEMNITY

You agree to indemnify, defend and hold Provider, its shareholders, directors, officers, co-branders, subsidiaries, parents, employees and agents, harmless from any claim, demand, liability, dispute, damage, cost, expense, or loss, including attorneys’ fees and costs of litigation, arising out of or in any way related to your use of or access to Concord Review, use of the Content (including any use by your employees), your violation of these Terms or violation of any rights of another.

15. LIMITATION ON ACTIONS BROUGHT AGAINST PROVIDER

You agree that any claim or cause of action arising out of the use of Concord Review or these Terms must be filed within one year after such claim or cause of action arose or it shall forever be barred, notwithstanding any statute of limitations or other law to the contrary. Within this period, any failure by Provider to enforce or exercise any provision of these Terms or related right shall not constitute a waiver of that right or provision.

16. DISPUTE RESOLUTION

  1. You agree that any dispute arising out of or relating in any way to the use of Concord Review requires that such claim be resolved exclusively by confidential binding arbitration except that, to the extent you have in any manner violated or threatened to violate Intellectual Property Rights, Provider may seek injunctive or other appropriate relief.
  2. The arbitration shall be conducted, in accordance with the laws of Indonesia, as then in effect. No claims of any other parties may be joined or otherwise combined in the arbitration proceeding. Unless otherwise expressly required by applicable law, each party shall bear its own attorneys’ fees without regard to which party is deemed the prevailing party in the arbitration proceeding. Except for punitive and consequential damages (which may not be awarded), and subject to these Terms, the arbitrators shall be authorized to award either party any provisional or equitable remedy permitted by applicable law.
  3. Because the use of the Concord Review site requires the arbitration of any claims or disputes existing between the parties, neither party will have the right to pursue that claim in court or before a judge or jury or to participate in a class action or any other collective or representative proceeding.
  4. The arbitrators’ decision will be final and binding. Other rights that either party would have if such party went to court, including without limitation the right to conduct discovery or to appeal, may be limited or unavailable in arbitration.

17. GENERAL

If any provision in these Terms is found by a court or arbitrator to be invalid, the parties agree that the court or arbitrator should give effect to the parties’ intentions as reflected in the provision, and the other provisions of these Terms will remain in full force and effect. Provider’s failure to act with respect to a breach by any visitor using Concord Review does not constitute a waiver of its right to act with respect to subsequent or similar breaches.

  1. These Terms will be governed by and construed in accordance with the laws of Indonesia without regard to its choice of law provisions. In the event of any conflict between foreign laws, rules, and regulations and those of the Republic of Indonesia, the laws, rules and regulations of the Republic of Indonesia will govern.
  2. These Terms and the Privacy Policy as posted from time to time by Provider on Concord Review, and any modifications to the foregoing, constitute the entire agreement between the parties with regard to the subject matter in these Terms and supersede all prior understandings and agreements, whether written or oral, as to such subject matter.
